OFFICIAL RULES OF MADONNA BELGIUM FLYAWAY CONTEST.

NO PURCHASE IS NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT IMPROVE ENTRANT'S ODDS OF WINNING. THIS CONTEST IS OPEN ONLY TO NATURAL PERSONS WHO ARE LEGAL RESIDENTS OF THE UNITED STATES OF AMERICA AND WHO ARE AT LEAST 18 YEARS OF AGE AT THE TIME OF ENTRY. ENTRY IN THIS CONTEST CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES. CONTEST NAME: MADONNA BELGIUM FLYAWAY CONTEST. VOID WHERE PROHIBITED BY LAW.

SPONSOR and ADMINISTRATOR: The Sponsor of the Contest is SPIN MAGAZINE ONLINE. The administrator of the Contest is Signatures Network, Inc. Sponsor and Administrator are collectively referred to herein as Madonna Flyaway. Administrator will conduct the Contest substantially as described in these Official Rules. By participating in the Contest each entrant agrees as follows:
ENTRY PERIOD: The Contest begins at 4:00:01 PM PT on June 4, 2009 and ends at 11:59:59 PM PT on June 24, 2009.

METHOD OF ENTRY: Enter via Internet by visiting the Contest website located at www.belgiumflyaway.madonna.com and submit a statement of 50 words or less explaining why contestant should win a flyaway to Madonna's July, 11th Belgium concert. Only the person submitting the statement shall be considered the entrant. Entries must submit a statement of 50 words or less explaining why they should be selected to go to the pre-show sound check. Winner will be required to write a fan blurb about winner’s experience. A version of the winner's blurb will appear on SpinMagazine.com. You must complete the entire entry form field to be entered. Entries not submitted in accordance with the instructions provided on the Contest website and these Official Rules will not be considered in the Contest.

One entry per valid email address will be entered into the Contest. Although subsequent attempts to enter may be received, only entrant's first entry during the specified Contest entry period will count. No third party entry or entry through Contest service permitted. All entries become the property of the Administrator and none will be acknowledged or returned. Any individual who attempts or otherwise encourages, directly or indirectly, the entry of multiple or false contact information under multiple identities, or uses any device or artifice to enter or encourage, directly or indirectly, multiple or false entries, as determined by the Administrator, will be disqualified.

ELIGIBILITY: The Contest is open only to natural persons who are legal residents of the United States of America and who are 18 years of age or older at the time of entry. Contest may only be entered from and in eligible jurisdictions. Contest Entities and each of their respective parent companies, affiliates, subsidiaries, successors, assigns, agents, representatives, officers, directors, shareholders, and employees and any entity involved in the development, production, implementation, administration, judging or fulfillment of the Contest including, without limitation, the immediate family members and/or those persons living in the same household of such individuals, are not eligible to participate. In the event of a dispute about the identity of an entrant, each entry will be declared made by the registered account holder of the e-mail address submitted at time of entry. The registered account holder is deemed to be the natural person who is assigned the submitted e-mail address by the relevant Internet service provider, online access provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. With respect to any winning entry, the winner may be required to provide Administrator with proof that the person is the registered account holder of the e-mail address associated with the winning entry. By entering the Contest, entrants agree to comply with and be bound by these Official Rules and the decisions of the judges, which are final and binding in all respects. Failure to comply with these Official Rules may result in disqualification from the Contest.

PRIZES: (1) Grand Prize consisting of round-trip airfare for winner and one (1) guest, to Brussels, Belgium from the airport nearest winner's home in the U.S., departing July 9, 2009, and returning July 12, 2009; 2 days/2 nights double occupancy standard hotel accommodations for winner and guest; ground transportation from airport to hotel and hotel to venue. Winner and guest will be escorted to sound check before the show. Approximate Retail Value the Grand Prize is: Four Thousand and No Cents ($4000.00). Any difference between stated approximate retail value and actual value of prize will not be awarded. Selection of airline and hotel are solely within Sponsor's discretion. All other expenses not specifically mentioned herein are solely the winner's responsibility. All travel must be taken on dates specified; no alternative travel dates are available or prize will be forfeited and may be awarded to an alternate. All travel subject to availability and restrictions. Winner and travel guest must travel on same itinerary. If winner is a minor in his/her state of residence, the travel guest must be winner's parent or legal guardian. A minor may accompany winner as a travel guest only if the winner is the minor's parent or legal guardian. Minors must be accompanied at all times during trip (including, but not limited to, in-flight, hotel stay and all prize-related events) by minor’s parent or legal guardian. Travel guests must sign and return a travel release before any ticketing of travel occurs. Winner and guest must have all necessary identification and/or travel documents (e.g., a valid U.S. driver's license) required for travel to Brussels, Belgium. All Entrants understand that travel, whether in civilized or remote areas and whether by plane, automobile, or other conveyance, or by foot, on land and in the air, contains some inherent element of risk of accident, illness, injury, loss or death, which may be caused by negligence, forces of nature or other agencies, known or unknown. Winner understands that these risks may be present before, during and after the trip.

There will be only one prize for the winner. Only listed prizes will be awarded and no substitutions or cash equivalents or redemption will be made, except that Administrator reserves the right to award a prize of equal or greater financial value if any advertised prize (or any component thereof) becomes unavailable. Prize cannot be used in conjunction with any other promotion or offer. Winners agree to accept the prize 'as is', and entrants hereby acknowledge that Contest Entities have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the prize, including express warranties (if any) provided exclusively by a prize supplier that are sent along with the prize. Any valuation of the prize(s) stated above is based on available information provided to Administrator and the value of any prize awarded to a winner may be reported for tax purposes as required by law. Each winner is solely responsible for reporting and paying any and all applicable taxes. Each winner must provide Administrator with a valid taxpayer identification number or social security number before any prize will be awarded. Prizes are not transferable, redeemable for cash or exchangeable for any other prize.

SELECTION OF WINNERS: All eligible entries received will be reviewed by a panel of judges selected by the Contest Entities. The winner will be determined based on creativity and originality of their statement. There will be one (1) grand prize winner. Winners will be announced on or about June 26, 2009. Winner must be available to travel between July 9, 2009 and July 13, 2009. The decisions and interpretations of the Contest Entities on all matters relating to the Contest and these Official Rules are final and binding in all respects. Administrator reserves the right to disqualify any participant or winner and may refuse to award any prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the Contest, or obtained winner status using fraudulent means.

Odds of winning a prize depend on the number of eligible entries received and the skill demonstrated in the entries relative to the above judging criteria. Potential winners will be notified by telephone and/or e-mail and must meet all eligibility requirements. Return of a prize or prize notification as undeliverable, or inability of Administrator to contact a potential winner by telephone or e-mail within twenty-four (24) hours of selection, may result in disqualification of such potential winner, and an alternate winner may be selected by random drawing at Administrator's discretion. In the event a winner declines a prize, Administrator may, at its discretion, select an alternate winner.

Limit one (1) entry per person and/or e-mail address and/or household.

PUBLICITY, PRIVACY & PRIZE NOTIFICATION: Except where prohibited by law or regulation, by submitting an entry, entrant grants the Administrator a perpetual, worldwide, royalty-free license to use his/her name, character, photograph, voice, and likeness in connection with the promotion of this Contest, and entrants waive any and all claims and/or rights to receive any royalties or other compensation for the Administrator’s use thereof, unless prohibited by law. Entrants agree that the Administrator may disclose to third parties all personal information obtained from entrants and use such information for marketing and other purposes.

GENERAL CONDITIONS: The Contest is void where prohibited by law and is governed by the laws of the United States of America. The submission of an entry is solely the responsibility of the entrant. Only eligible entries actually received by 11:59 PM PT on June 24, 2009, during the specified Contest entry period, will be included in the Contest. For purposes of these Official Rules, 'receipt' of an online entry occurs when Administrator's servers record the entry information upon entrant’s clicking on the 'Submit' button and the Administrator receives the entrant statement through the contest landing page. Any automated computer receipt (such as one confirming delivery of e-mail) does not constitute proof of actual receipt by Administrator of an entry for purposes of these Official Rules. Contest Entities and their respective parents, subsidiaries and affiliates are not responsible for late, lost, delayed, unclear, unintelligible, incomplete, misdirected or ineligible entries, which will be disqualified, or for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the sender, or by any of the equipment or programming associated with or utilized in the Contest which may limit the ability to play or participate, or by any human error that may occur in the processing of the entries in the Contest. ANY PERSON ATTEMPTING TO DEFRAUD ADMINISTRATOR OR SPONSOR OR IN ANY WAY TAMPER WITH, DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST WILL BE DISQUALIFIED AND MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PROSECUTION.

LIMITATION OF LIABILITY & RELEASE: By participating in the Contest, entrants agree to indemnify and hold harmless the Contest Entities and each of their respective parent companies, affiliates, subsidiaries, successors, assigns, agents, representatives, officers, directors, shareholders, and employees (collectively, 'Releasees') from and against any and all injuries, losses, damages, claims, and actions of any kind arising from or relating to participation in the Contest, or acceptance, possession, use, misuse, or nonuse of the prize that may be awarded, including, without limitation, actual, direct, indirect, consequential, punitive, special, or other damages.

Contest entrants are hereby authorized to copy these official rules on the condition that it will be for their personal use and not for any commercial purpose whatsoever.

WINNER'S LIST: A winner’s list is available only within sixty (60) days after the close of the Contest. Mail request to Madonna Belgium Flyaway Contest Rules, Signatures Network, Inc. 2 Bryant Street, San Francisco, CA 94105, Attention: Madonna Belgium Flyaway Contest Administrator.
